Understanding Real Estate Agreements
Real estate conveyancing demands flawless execution and absolute statutory compliance. In India, property transactions are governed by a complex matrix of central legislations and state-specific fiscal laws, where even a minor omission — an unverified link in the chain of title, an underpaid stamp duty, an unregistered instrument — can result in prolonged litigation or heavy financial penalties.
Every transaction turns on two distinct instruments. The Agreement to Sell establishes intent, financial milestones, and contractual liabilities between the parties, while the Sale Deed is the ultimate conveyance that legally transfers ownership title and must be compulsorily registered before the Sub-Registrar under Section 17 of the Registration Act, 1908. We draft, vet, and execute both — alongside Joint Development and RERA-compliant Builder-Buyer Agreements — with the precision that high-value immovable assets demand.

Instruments & Mandates We Handle
Agreement to Sell vs. Sale Deed
The Agreement to Sell establishes intent, financial milestones, and contractual liabilities; the Sale Deed is the ultimate conveyance that transfers ownership title. Under Section 17 of the Registration Act, 1908, the Sale Deed must be compulsorily registered before the Sub-Registrar to effect a legal transfer.
Statutory RERA Mandates
Under the Real Estate (Regulation and Development) Act, 2016, developers are barred from collecting more than 10% of the booking amount without executing and registering a standardized Builder-Buyer Agreement in the state authority's prescribed format.
Joint Development Agreements
For complex land developments, we structure detailed JDAs between landowners and builders — precisely defining revenue-sharing ratios, built-up area allocations, construction timelines, and liability clauses for regulatory sanctions.
Stamp Duty & Registration Compliance
Property instruments require accurate evaluation under the Indian Stamp Act, 1899 and its state amendments. Stamp duty typically ranges from 4% to 7% of the circle rate or consideration value, alongside a 1% registration fee.
What We Need to Begin
How We Execute Your Conveyancing
Every conveyance moves through four disciplined stages — from confirming that the title is clear and marketable to registering the executed instrument before the Sub-Registrar, with statutory stamp duty discharged in full.
1Step 1: Title Search & Encumbrance Verification
We trace the chain of title, examine the Encumbrance Certificate for the statutory period, and scrutinize tax records, Khata, and municipal approvals to confirm the property is free of mortgages, liens, and ownership disputes before a single clause is drafted.
2Step 2: Instrument Drafting & Vetting
We draft the agreement with airtight provisions — property description, consideration, payment schedule, possession conditions, representations and warranties, indemnities, default remedies, and dispute resolution — calibrated to how the courts actually read them.
3Step 3: Stamp Duty Assessment & Payment
We compute stamp duty on the higher of the consideration or the government circle rate under the applicable state stamp act, then arrange e-stamping or franking so the instrument is duly stamped and legally admissible.
4Step 4: Registration Before the Sub-Registrar
We book the Sub-Registrar appointment, prepare all originals and copies, ensure both parties and two witnesses are present, and complete registration under the Registration Act, 1908 to perfect the transfer of title.
An Agreement to Sell is typically ready within 2–3 working days. Registered Sale Deeds and RERA-compliant Builder-Buyer Agreements generally take 5–10 working days, inclusive of the Sub-Registrar appointment and stamp duty payment.

Statutory Frameworks We Navigate
Registration Act, 1908
Under Section 17, a Sale Deed for immovable property must be compulsorily registered before the Sub-Registrar. An unregistered deed does not transfer title and is inadmissible as evidence in a dispute.
RERA Act, 2016
Builder-Buyer Agreements for new projects must be registered with the state RERA authority, and developers cannot collect more than 10% of the sale consideration before executing a registered, prescribed-format agreement.
Indian Stamp Act, 1899
Stamp duty — typically 4% to 7% of the circle rate or consideration, plus a 1% registration fee — must be paid on the higher of the two values. Undervaluation attracts penalties under the applicable state stamp act.
Title Diligence & Encumbrance
A clear, marketable title depends on an unbroken chain of ownership and a clean Encumbrance Certificate. Verifying the EC for 13 to 30 years exposes hidden mortgages, liens, and prior claims before you commit.
