How to Register a Partnership Firm

Registration is optional under the Indian Partnership Act, 1932, but strongly recommended. It is carried out with the Registrar of Firms (ROF) in the state where the firm operates, once the Partnership Deed has been drafted and duly stamped.

1Step 1: Draft the Partnership Deed

Prepare a comprehensive Partnership Deed covering capital contributions, profit-sharing ratio, partner duties, admission and retirement of partners, dispute resolution, and dissolution.

2Step 2: Stamp & Execute the Deed

Print the deed on non-judicial stamp paper of the value prescribed by your state, and have it signed by all partners in the presence of witnesses.

3Step 3: Apply to the Registrar of Firms

Submit the prescribed application (Form 1) together with the executed deed to the State Registrar of Firms, along with the applicable fee.

4Step 4: Submit Supporting Documents

Attach identity proofs, address proofs, proof of the business premises, and the signed affidavits of all partners.

5Step 5: Registration Certificate

On verification, the Registrar records the firm in the Register of Firms and issues a Certificate of Registration.

Registration is typically completed within 5–7 working days of submitting a complete application, though timelines vary by state Registrar of Firms.

TDS Compliance

Deduct and deposit TDS on payments such as salaries, rent, and professional fees, and file the periodic TDS returns.

Supplementary Deed Updates

Record any change in partners, profit-sharing ratio, or key terms through a duly executed Supplementary Partnership Deed.
